Terms of Business

Between Casefile and the brokerages that use it. If you are a mortgage applicant, the Privacy Policy is the page you want.

These terms are between The Ancoats Digital Agency Limited, company number 15918159, registered at 5 Piccadilly Place, Aytoun St, Manchester M1 3BR ("we", "us"), and the brokerage named in the order form ("you").

1. What Casefile does

Casefile collects documents from your applicants, checks them automatically, and presents the results for you to review. It is a document collection and checking tool. It is not a mortgage advice system, an affordability calculator, a system of record, or a replacement for your own compliance obligations.

You remain responsible for every decision about a mortgage application. Our checks are an aid to your judgement. We never approve, reject or verify a document: you do.

2. Your account

We create broker accounts. There is no public sign-up. You tell us who should have access, and you tell us promptly when someone leaves.

You are responsible for what the people with your accounts do, and for keeping their credentials secure.

You must not share accounts between people, use the service for anything other than your own applications, attempt to access another brokerage's data, or reverse engineer the service.

3. Your applicants

You decide which applicants to invite and what you ask them for. You are responsible for having a lawful basis for passing their data to us, and for telling them that you use Casefile.

We deal directly with your applicants only to the extent needed to run the service.

4. Data protection

For applicant data, you are the controller and we are the processor. We process it only on your documented instructions.

A separate data processing agreement applies and forms part of this contract. If anything in these terms conflicts with it, the data processing agreement wins.

We will not use your applicants' documents to train artificial intelligence models.

Our Privacy Policy and Data Security pages describe how we handle data. We may update them, and we will tell you before any material change.

5. Fees

To confirm: Price, billing frequency, what each tier is measured by, what happens if you exceed it, VAT treatment, payment terms and late payment interest.

To confirm: Whether fees apply during the pilot period.

We may change our fees on 30 days' notice. If you do not accept a change you may end the contract before it takes effect.

6. Availability

We aim to keep Casefile available but we do not commit to a specific level of availability during the pilot period. (to confirm)

We may take the service down for maintenance, and we give notice where we can.

7. Support

Support is by email to help@gocasefile.com during UK business hours. We aim to respond within one working day. (to confirm)

8. What we are not liable for

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, we are not liable for:

• a lender's decision on any application;
• any loss arising because you relied on an automated check instead of your own review;
• loss of profit, business, goodwill or anticipated savings;
• any indirect or consequential loss.

Our total liability in any twelve month period is limited to the fees you paid us in that period.

9. Your obligations to us

You will not upload anything unlawful, or any data you are not entitled to share with us.

You will tell us promptly if you believe there has been unauthorised access to your account.

10. Intellectual property

We own Casefile and everything in it. You get a non-exclusive, non-transferable right to use it during the contract.

You own your data and your applicants' documents. Nothing here transfers any ownership in them to us.

If you give us feedback or suggestions, we may use them freely.

11. Ending the contract

Either of us may end this contract on 30 days' written notice. (to confirm)

We may suspend or end it immediately if you breach these terms materially and do not fix it within 14 days of being asked, or if you stop trading.

12. What happens to your data at the end

For 30 days after the contract ends you may download your documents and case data.

After that we delete everything in line with the retention periods in our Privacy Policy. Audit records are kept for six years because both of us may need them.

We will confirm deletion in writing if you ask.

13. Confidentiality

Neither of us will disclose the other's confidential information, except where required by law or to our own professional advisers.

14. General

We may change these terms on 30 days' notice. Continuing to use Casefile after that means you accept the change.

Neither of us is liable for failures caused by events outside our reasonable control.

You may not transfer this contract without our consent. We may transfer it to a company that acquires our business.

These terms are the whole agreement between us, together with the data processing agreement and the order form.

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
